Conversion to Corporate Structure

Blackwatch Energy Services Trust converted to a corporation named Blackwatch Energy Services Corp effective January 2, 2009. The conversion was on a one for one basis and was deemed to be a tax deferred event. Dispositions of Blackwatch Energy Services Corp will require an ACB calculation if any of the shares sold were originally purchased as Blackwatch Energy Services Trust with a record date prior to February 1, 2007.
