Conversion to Corporation:

Effective January 31, 2011 First Asset PowerGen Fund converted to corporate status through an exchange of its units for shares of Sprott Power Corp. on the basis of 5.35402342 Sprott Power Corp. shares for each First Asset PowerGen Fund unit previously held. The exchange was NOT a taxable event.
